Please read these terms carefully before downloading, installing, or using Pivit. By installing or using Pivit, you agree to be bound by these Terms of Service. If you do not agree, do not install or use the application.
1.1 Pivit is developed and operated by Pivit Labs, a trading name of Brandon Dodd ("Pivit Labs", "we", "us", "our"), an individual operating as a sole trader in the United Kingdom.
1.2 These Terms of Service ("Terms") govern your access to and use of the Pivit desktop application ("App"), the Pivit web platform at pivit.app ("Site"), and any related cloud services (collectively, the "Service").
1.3 These Terms are a legally binding contract between you and Pivit Labs. By using the Service, you confirm that you accept these Terms and agree to comply with them.
1.4 Nothing in these Terms affects any statutory rights you have as a consumer under the laws of England and Wales, Scotland, or Northern Ireland.

2.1 You must be at least 13 years old to use the Service.
2.2 If you are between 13 and 17 years old, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2.3 To purchase a paid subscription, you must be at least 18 years old, or have the consent of a parent or legal guardian who accepts responsibility for payment.
2.4 By using the Service, you confirm that the information you provide is accurate and complete.
3.1 Description. Pivit is an AI-powered productivity application that provides a low-latency overlay interface for interacting with AI models, managing system workflows, and extending functionality through a plugin system.
3.2 Platform. The App is currently available for Windows only. We intend to release versions for macOS and Linux in the future, but we make no guarantee as to timing.
3.3 Third-Party AI Providers. The Service connects to third-party large language model (LLM) providers, including but not limited to:
Your use of AI features is subject to the terms and privacy policies of the relevant provider(s) in addition to these Terms. We are not responsible for the availability, performance, or content policies of third-party AI providers.
3.4 Third-Party Infrastructure. The Service uses the following third-party services to operate:

3.5 Modifications. We may modify, update, or discontinue any part of the Service at any time. Where reasonably practicable, we will provide reasonable notice of material changes. We will not be liable for any modification, suspension, or discontinuation of the Service, except where required by law.
4.1 Registration. Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information and to keep it up to date.
4.2 Security. You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@pivit.app if you suspect any unauthorised access to your account.
4.3 Account Suspension. We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms, without liability to you.

5.2 Billing. Paid subscriptions are billed on a recurring basis (monthly or annually) in advance. All prices are stated in GBP and inclusive of any applicable VAT unless stated otherwise. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
5.3 14-Day Right to Cancel. If you are a consumer in the United Kingdom, you have the right to cancel a new paid subscription within 14 days of purchase without giving a reason (the "Cancellation Period").
However, by actively using the Service immediately after purchase, you expressly request that we begin providing the Service before the Cancellation Period expires. You acknowledge that once the Service has been fully performed or substantially used, you lose the right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you cancel before the Service has been fully used during the Cancellation Period, you may be charged a proportionate amount for the service already delivered.
5.4 Cancellation After Cancellation Period. After the Cancellation Period, you may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law or at our discretion.
5.5 AI Usage Limits. Your AI usage is tracked in monetary terms (approximate USD cost of LLM API calls). If you exceed the usage limits for your plan, we may throttle access to AI features until your usage resets or you upgrade your plan. Pivit Labs is not liable for disruption to AI features resulting from usage limits being reached.
5.6 Refund Policy. Refunds outside of the statutory Cancellation Period are provided at our sole discretion and only in cases of demonstrable service failure attributable to Pivit Labs.

6.3 We do not use these permissions for any purpose beyond delivering the Service as described in these Terms and our Privacy Policy.
7.1 The App includes an automatic update mechanism. Updates may be delivered automatically to maintain security, fix bugs, and improve functionality.
7.2 You agree to receive and apply automatic updates. We strongly recommend keeping the App up to date, as older versions may contain security vulnerabilities that are no longer supported.
7.3 In some cases, major updates may require your active acknowledgment before being applied.
8.1 AI-generated content ("Output") produced through the Service is generated by third-party LLM providers and is probabilistic in nature. Output may be inaccurate, incomplete, misleading, or inappropriate.
8.2 You are solely responsible for reviewing, verifying, and deciding how to act on any Output. You must not rely on Output as a substitute for professional advice (including legal, medical, financial, or technical advice) without independent verification.
8.3 Pivit Labs makes no warranty as to the accuracy, reliability, safety, or fitness for any particular purpose of any Output generated through the Service.
8.4 You acknowledge that AI models may produce different outputs for identical inputs, and that outputs may change as underlying models are updated by their respective providers.
9.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.

9.3 We may suspend or terminate your access to the Service if you breach this section, without liability to you (subject to any rights you have as a consumer).
10.1 You retain ownership of any content, prompts, or data you submit through the Service ("Your Content").
10.2 By submitting Your Content, you grant Pivit Labs a limited, non-exclusive licence to process and transmit it as necessary to deliver the Service (including transmitting prompts to third-party AI providers on your behalf).
10.3 You are responsible for ensuring Your Content does not infringe third-party rights or violate applicable law.
10.4 We do not claim ownership of Your Content and will not use it to train AI models.
11.1 The App, Site, and all associated software, code, design, branding, logos, and documentation are the intellectual property of Pivit Labs and are protected by applicable laws.
11.2 We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on your Windows device(s) for the duration of your subscription (or indefinitely for the Basic Plan), solely for your personal or internal business use.
11.3 You may not sublicense, sell, redistribute, or otherwise transfer the App or any part of the Service without our prior written consent.
11.4 "Pivit" and "Pivit Labs" are trading names of Pivit Labs. You may not use these names, logos, or branding without our prior written permission.
12.1 The App uses PostHog to collect anonymised analytics data to help us understand how the App is used and improve the Service.
12.2 Each installation is assigned a unique anonymous installation ID. Text and logs are sanitised before being sent to PostHog to prevent the transmission of personally identifiable information.
12.3 You can control the level of diagnostics data sent through the App's settings (Minimal or Full diagnostics). Further details are set out in our Privacy Policy.

13.1 Nothing in these Terms limits or excludes our liability to you for:

13.5 If you are a consumer in the United Kingdom, your statutory rights are not affected by these Terms.
14.1 You may stop using the Service and cancel your account at any time by contacting us at support@pivit.app or through the account management interface.
14.2 We may terminate or suspend your access to the Service immediately, without prior notice, if:
14.3 On termination, your licence to use the App ceases. Provisions of these Terms that by their nature should survive termination (including clauses 10, 11, 13, and 15) will continue to apply.
14.4 If we discontinue the Service, we will provide you with reasonable notice and, where applicable, a pro-rata refund of any prepaid fees for the period after discontinuation.
15.1 Governing Law. These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. You may bring proceedings in the courts of England and Wales. If you reside in Scotland or Northern Ireland, you may also bring proceedings in the courts of those jurisdictions.
15.2 Changes to These Terms. We may update these Terms from time to time. We will notify you of material changes via the App or by email at least 14 days before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.
15.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, it will be severed from the remaining Terms, which will continue in full force and effect.
15.4 Waiver. Failure by Pivit Labs to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in future.
15.5 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pivit Labs in relation to the Service, and supersede all prior agreements or representations.
15.6 No Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations, including in the event that Pivit Labs is incorporated as a company, provided this does not materially prejudice your rights.
